KERN

Strategic counsel for decisions
that cannot be undone.

Joachim Kern · Luxembourg · since 2017
Focus on construction and skilled trades — for owner-managed mid-sized and large companies, their shareholders and investors

Position

I don't sell methods. I take responsibility for the quality of the decision.

My work begins where internal discussions stall, where external advisers evade, and where risks are knowingly set aside. Independent, discreet, free of politics.

I work with artificial intelligence — openly, and I show my clients what it makes possible. It speeds up the analysis; I check the foundations, weigh the risks and stand behind my recommendation — including when a decision has to be made. What no machine can do: be in the room when the decision is made.

I deliberately run only a few mandates in parallel — and I name no clients. Discretion is part of the mandate. New mandates typically come by referral from existing clients — owner-managed mid-sized and large companies in construction and skilled trades in Luxembourg.

Situations

What lands on my desk.

One shareholder wants out — the others can't buy him out.

The bank demands a credible plan. By the end of the month.

The flagship project is eating cash — and nobody knows exactly where.

Contract claims in the millions: disputed, unpaid, close to time-barred.

The buyer is at the table. The company isn't ready.

The successor is good — but not ready yet.

Everyone in the room has an opinion. Nobody has a decision paper.

If you recognise yourself in one of these lines, you know why this page exists.

Compass

What happens if you do nothing?

Three answers, no form, nothing is stored. At the end: a preview of your first assessment — the way I would write it. What appears here, a machine can do — and I use it. What comes after, it cannot.

Mandates

I prepare the decision and sit at the table when it is made — on repositioning, growth, shareholder questions. Analysis of profitability, cash flow, risks and dependencies is the tool; the judgement and the recommendation I stand behind are the service.

I lead the bank meeting with you — and negotiate through to closing. Before that: structuring and financing of projects, real estate in particular, and a dossier a credit committee understands without a single query.

I sit between the parties when shareholders, clients or key people have reached a deadlock — and hold the process until there is a number everyone believes. Contractual, liability and decision risks in scenarios, not in gut feeling.

An independent counterpart — someone who tells you to your face what you can carry and what you cannot. Confidential, direct, without regard for appearances. Focused on the decision.

I accompany you to the negotiating table — from the first conversation with the buyer to the signature. Before that: analysis from both the buyer's and the seller's perspective, preparation for due diligence, plain naming of strengths, weaknesses and deal-breakers.

Approach
Findings

Examine, don't recite.

Figures, contracts, structures. What is evidenced, what is assumption, what is risk — strictly separated.

Assessment

A position, not a menu.

Scenarios with consequences: economic, legal, personal. One clear line, not a catalogue.

Resolution

One document. One step.

Every recommendation ends in a resolution, a contract or a number — never in a slide. Findings and assessment are fast today; the resolution is what I am there for. I stand behind the quality of my analysis and recommendation and support the agreed implementation.

Drive

Why I do this.

Creativity, for me, is the freedom to see beyond what is: to question what seems inevitable, to connect what appears unrelated, to imagine a future the present does not yet reveal.

I do not want to stay in that world of possibility. I want to bring something back. An idea has to stand up to scrutiny, find its place in the real world and make a difference to someone — including after the first excitement has faded and the uncomfortable conversations begin.

When I look at a company, I see more than a structure and a set of numbers. I see the courage it took to begin, the years someone gave to building it, and the people whose lives have become part of its story. Being invited into that story is a responsibility I do not take lightly.

That responsibility gives my creativity its purpose. It asks me to look further, think harder and remain willing to question my own answers — and to care as much about what a solution actually does as about the idea behind it.

There is a moment I work towards: when a situation that has occupied someone's entire horizon begins to open up. The difficulty is still there, but there is room to think again. The next step becomes clear. Someone can breathe, decide and move.

I found freedom in choosing my own path.

I find purpose in helping others see that theirs is still open.

Questions

KERN advises owners, executive boards and investors in situations that are critical to decisions, value and liability — where decisions cannot be reversed, shape company value or trigger personal responsibility, and where clarity matters more than consensus.

Strategic corporate advisory — structured analysis of the business model, profitability, cash flow, risks and options as the basis for sound, defensible decisions.
Restructuring & crisis management — support through economic distress, operational disruption, escalated conflicts and heightened management and liability risks.
Transactions — preparing companies for sale, investment or acquisition; disciplined analysis from both the buyer's and the seller's perspective; support through the decisive phases.
Sparring — an independent, discreet counterpart for critical junctures and deadlocked internal discussions.

Fact-based, independent, execution-oriented — no standard solutions, no theoretical concepts.

Deliberately simple: you write me an e-mail with a brief, precise description of your situation and your question. In a confidential conversation we clarify objectives, context and decision pressure. You then receive an honest assessment of whether — and in what form — KERN can add substantial value. Only if it can do we jointly define scope, approach and next steps.

I work selectively and accept mandates only where effective support is possible. No long-term commitments, no unnecessary process — focus on the result.

The focus is on decisions, not presentations. I combine financial analysis, legal thinking and operational reality.

Decision-driven, not method-driven — no frameworks or standard models, but sound bases for decisions.
Operational experience at executive level — I know how companies actually work, beyond theory and slides.
Independent and direct — tied to no products, institutions or follow-on mandates; I say what needs to be said.
Selective mandate acceptance — a limited number of clients, and only where measurable value is created.
Confidential and responsible — every mandate is treated as if my own company were at stake.

By e-mail to j.kern@kern.lu — with a brief description of your situation and the reason for your inquiry. After reviewing it, I will call you back if a conversation makes sense. All inquiries are treated in strict confidence.

You are not paying for analysis alone — that is fast today. You are paying for a clear judgement someone stands behind, and for the personally agreed support of your decision. The standard hourly rate is 450 € plus VAT. In particularly complex, time-critical or liability-sensitive mandates a higher rate may apply, depending on scope, urgency and responsibility. For longer-term mandates, fixed fees or individual arrangements are possible. All fees are set transparently and agreed in advance.

Public funding: For certain eligible advisory projects of small and medium-sized enterprises, public support (Luxembourg's Aide au conseil) of up to 50 % of eligible costs may be available. Eligibility and the application must be clarified before work begins; approval is not guaranteed.

It brings orientation to situations that are complex, burdensome or deadlocked. Many clients carry great responsibility under high decision pressure — that is exactly where I come in. You can expect:

Clarity and structure — complex situations are ordered, topics prioritised, decision paths made traceable.
A calm, independent counterpart — an outside view, free of internal dynamics and political interests.
Honest assessments in a respectful tone — clear on substance, reliable in conduct; even difficult topics are raised in a way that enables action.
Relief at decisive moments — you do not have to carry decisions alone.
Absolute discretion — sensitive matters remain confidential.

I work as a sparring partner at eye level — not to raise the pressure, but to create certainty: making good decisions possible when uncertainty, complexity or responsibility are at their highest.

Facing a decision that carries weight?

Then let's talk — structured, confidential, and without wasting time.
