KERN
Strategic counsel for decisions
that cannot be undone.
I don't sell methods. I take responsibility for the quality of the decision.
My work begins where internal discussions stall, where external advisers evade, and where risks are knowingly set aside. Independent, discreet, free of politics.
I deliberately run only a few mandates in parallel — and I name no clients. Discretion is part of the mandate. New mandates typically come by referral from existing clients — owner-managed mid-sized and large companies in construction and skilled trades in Luxembourg.
What lands on my desk.
One shareholder wants out — the others can't buy him out.
The bank demands a credible plan. By the end of the month.
The flagship project is eating cash — and nobody knows exactly where.
Contract claims in the millions: disputed, unpaid, close to time-barred.
The buyer is at the table. The company isn't ready.
The successor is good — but not ready yet.
Everyone in the room has an opinion. Nobody has a decision paper.
If you recognise yourself in one of these lines, you know why this page exists.
Repositioning and growth decisions. Analysis of profitability, cash flow, risks and dependencies. Preparing and supporting shareholder and management decisions.
Structuring and financing of projects, real estate in particular. Decision-ready dossiers for credit and investment committees — negotiation support through to closing.
Escalated shareholder, client and employee conflicts. Contractual, liability and decision risks. Structured scenarios instead of gut feeling.
An independent counterpart at eye level. Confidential, direct, unsparingly honest. Focused on the decision, not on appearances.
Company analysis from both the buyer's and the seller's perspective. Preparation for due diligence and negotiations. Plain naming of strengths, weaknesses and deal-breakers.
Examine, don't recite.
Figures, contracts, structures. What is evidenced, what is assumption, what is risk — strictly separated.
A position, not a menu.
Scenarios with consequences: economic, legal, personal. One clear line, not a catalogue.
One document. One step.
Every recommendation ends in a resolution, a contract or a number — never in a slide.

KERN advises owners, executive boards and investors in situations that are critical to decisions, value and liability — where decisions cannot be reversed, shape company value or trigger personal responsibility, and where clarity matters more than consensus.
Strategic corporate advisory — structured analysis of the business model, profitability, cash flow, risks and options as the basis for sound, defensible decisions.
Restructuring & crisis management — support through economic distress, operational disruption, escalated conflicts and heightened management and liability risks.
Transactions — preparing companies for sale, investment or acquisition; disciplined analysis from both the buyer's and the seller's perspective; support through the decisive phases.
Sparring — an independent, discreet counterpart for critical junctures and deadlocked internal discussions.
Fact-based, independent, execution-oriented — no standard solutions, no theoretical concepts.
Deliberately simple: you write me an e-mail with a brief, precise description of your situation and your question. In a confidential conversation we clarify objectives, context and decision pressure. You then receive an honest assessment of whether — and in what form — KERN can add substantial value. Only if it can do we jointly define scope, approach and next steps.
I work selectively and accept mandates only where effective support is possible. No long-term commitments, no unnecessary process — focus on the result.
The focus is on decisions, not presentations. I combine financial analysis, legal thinking and operational reality.
Decision-driven, not method-driven — no frameworks or standard models, but sound bases for decisions.
Operational experience at executive level — I know how companies actually work, beyond theory and slides.
Independent and direct — tied to no products, institutions or follow-on mandates; I say what needs to be said.
Selective mandate acceptance — a limited number of clients, and only where measurable value is created.
Confidential and responsible — every mandate is treated as if my own company were at stake.
By e-mail to j.kern@gmk.lu — with a brief description of your situation and the reason for your inquiry. After reviewing it, I will call you back if a conversation makes sense. All inquiries are treated in strict confidence.
The standard hourly rate is 450 € plus VAT. In particularly complex, time-critical or liability-sensitive mandates a higher rate may apply, depending on scope, urgency and responsibility. For longer-term mandates, fixed fees or individual arrangements are possible. All fees are set transparently and agreed in advance.
Public funding: Under certain conditions, advisory costs can be subsidised by up to 50 % under Luxembourg's Aide au conseil scheme — depending on company size, project type and formal application.
It brings orientation to situations that are complex, burdensome or deadlocked. Many clients carry great responsibility under high decision pressure — that is exactly where I come in. You can expect:
Clarity and structure — complex situations are ordered, topics prioritised, decision paths made traceable.
A calm, independent counterpart — an outside view, free of internal dynamics and political interests.
Honest assessments in a respectful tone — clear on substance, reliable in conduct; even difficult topics are raised in a way that enables action.
Relief at decisive moments — you do not have to carry decisions alone.
Absolute discretion — sensitive matters remain confidential.
I work as a sparring partner at eye level — not to raise the pressure, but to create certainty: making good decisions possible when uncertainty, complexity or responsibility are at their highest.
Facing a decision that carries weight?
Then let's talk — structured, confidential, and without wasting time.
